Form 6-K
A report that a foreign private issuer files with the SEC to furnish information it makes public or distributes in its home market.
Form 6-K is used to furnish material information the issuer publishes or distributes to shareholders in its home jurisdiction. Examples include interim results, press releases and home-market exchange announcements. The form has no fixed content requirements beyond furnishing material information.
Traders care because a 6-K is often the first US-visible filing for home-market news, such as quarterly results, board decisions, dividends or capital actions. Foreign issuers do not file the quarterly and current reports that domestic companies do, so 6-Ks and home-market filings fill that gap.
Worked example (illustrative numbers, not real data): a company releases quarterly results in its home market and furnishes the same release to the SEC on Form 6-K shortly after.
