ServiceNow sells $4 billion of senior notes, due 2028 to 2056, to repay Armis loan

In May 2026 ServiceNow issued $4.0 billion of fixed-rate senior unsecured notes in five series maturing between 2028 and 2056. Coupons range from 4.25% to 6.30%, and net proceeds of $3.9 billion repaid the term loan that funded most of the Armis price. The swap from a short-dated loan into longer bonds reduces near-term refinancing risk.

  • Five series: 4.25% due 2028, 4.70% due 2031, 5.05% due 2033, 5.40% due 2036, 6.30% due 2056
  • Aggregate principal $4.0B; net proceeds $3.9B after $57M of discount and costs
  • Proceeds used to repay term loan borrowings taken for Armis
